Board of Trustees

The Trustee serves as a volunteer on the governing body of the organization.  Along with other Trustees, sets the general direction that the organization will follow.  Board members act as trustees of the organizations assets and must exercise due diligence to oversee that the organization is well managed and that its financial situation remains sound. 

The Trustee’s fundamental duty to govern (not manage – that is the Chief Executive Officers responsibility) the organization by delegation to full-time managers is called the “duty of oversight.”  The duty of oversight obliges Trustees to exercise reasonable and prudent oversight with respect to corporate officers, agents and employees to whom those duties are delegated.

The duties of care, loyalty and obedience serve to describe the manner in which Trustees are required to carry out their fundamental duty of oversight.  The “duty of care” requires Trustees to become aware of all reasonably available information before taking action.  Once they have been informed of the situation, they should act with attentiveness and care appropriate under the circumstances.

The “duty of loyalty” requires Trustees to carry out their duties unselfishly, in a manner that benefits only the organization and not the Trustees personally.  It incorporates a duty to disclose any situation that might present a potential for conflict with the organizations mission.  It also requires the duty to avoid competition with, and appropriation of the assets of, the organization.

The “duty of obedience” requires the Trustees to be faithful to the underlying charitable purposes and goals of the organization.

Board Member Terms

Each term for a board member is 3-years. A board member may serve a total of 3 terms. The terms of the Trustees expire on December 31st of the year listed below.
